These Terms of Service (these "Terms") are entered into between you ("User" or "you") and Therassist, Inc. ("Company," "we," or "us"). By accessing or using our services, including our AI-powered software for therapists (the "Software"), you agree to be bound by these Terms. If you do not agree, do not use the Software.
1.1 Eligibility: You must be a licensed therapist or authorized user operating within a legitimate clinical setting to use the Software.
1.2 Permitted Use: You may use the Software solely for lawful, professional purposes and in accordance with all applicable regulations.
1.3 No Medical Advice: The Software does not provide medical advice or perform medical or diagnostic services. It is not a substitute for professional clinical judgment. You are solely responsible for all decisions related to patient care.
2.1 Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
2.2 Termination: You may terminate your use at any time by ceasing to use the Software. We may suspend or terminate access at any time for violation of these Terms or when we determine it is reasonably necessary to comply with applicable law.
3.1 Pricing: Pricing is available at https://therassist.ai/pricing (the "Pricing Page") and is subject to change. We will notify customers via email of material changes to pricing. Use of the Software following such change constitutes acceptance of the change.
3.2 Billing: Fees will be charged in accordance with the pricing posted at the time of your subscription or usage. We may terminate your access to the Software if you default in your payment obligations as posted on the Pricing Page.
4.1 Customer Data: "Customer Data" means all data submitted, collected, or stored through your use of the Software. You retain ownership of your Customer Data. We may collect, use, store and retain Customer Data as necessary for us to provide, operate, or improve the Software, and we may use Customer Data to create de-identified information for product development, research, analytics, and modeling purposes. We will not otherwise collect, monitor, use or retain any Customer Data, except as permitted in these Terms.
4.2 Usage Data: We may monitor, collect, use, and store usage and performance data generated by or derived from your use of the Software ("Usage Data"). We will own all Usage Data and may use it without restriction for its purposes in further developing and enhancing the Software, and for any other purpose.
4.3 Privacy Policy: Our Privacy Policy at https://therassist.ai/privacy-policy explains how we collect, use, and protect your data.
4.4 HIPAA and Business Associate Agreement (BAA): If you are a Covered Entity under HIPAA and use the Software in a manner that involves Protected Health Information (PHI), the Business Associate Agreement (BAA) applies. The BAA is incorporated into these Terms by reference and governs our use, disclosure, and safeguarding of PHI. You may view the BAA at https://therassist.ai/business-associate-agreement. By accepting these Terms, you also agree to the BAA.
5.1 Ownership: We retain all rights, title, and interest in and to the Software, including all intellectual property rights.
5.2 Feedback: We encourage you to provide us with comments, suggestions, or other feedback relating to the Software (the "Feedback"). By accepting these Terms, you automatically assign to Company all right, title and interest in and to such Feedback, including all intellectual property rights therein. Company shall be free to use, disclose, reproduce, license (including sub-license at any level) or otherwise distribute or exploit, in whole or in part, the Feedback as it relates to the Software as we see fit, entirely without any obligation to you or restriction of any kind.
6.1 As-Is Software: THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE.
6.2 Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE USE OF THE SOFTWARE WILL NOT EXCEED $1.00.
7.1 Changes to Terms: We may modify these Terms at any time. Updated terms will be posted at https://therassist.ai/terms-of-service. We will notify customers via email when we make material changes to these Terms. We will also update the "Last updated" date at the top of this page. We encourage you to review these Terms periodically, but you can rely on us to notify you of significant changes. Continued use after changes constitutes acceptance.
7.2 Governing Law: These Terms are governed by the laws of the State of Washington without regard to its conflict of law principles.
7.3 Conflicts: In the event of a conflict between these Terms and the BAA, the BAA shall govern with respect to the use or disclosure of PHI.
